Commercial Law

We advise on a range of competition law issues including reviewing potential anti-competitive agreements and practice, advising on the implications of commercial agreements and assisting clients by preventing their suppliers, customers and competitors from carrying out anti-competitive strategies and/or practices against their businesses.

We advise our clients on a wide range of commercial law contracts including distribution and commercial agency agreements, sale and supply agreements (under Egyptian law and international law such as the United Nations Convention on Contracts for the International Sale of Goods – CISG), joint venture, license and franchise agreements.

International commercial law is a body of legal rules, conventions, treaties, domestic legislation and commercial customs of usages that govern international commercial or business transactions. We advise clients on international commercial transactions if more than one country is involved.

Our lawyers regularly act on all aspects of corporate and personal insolvency and work closely with financial advisers/consultants, receivers and managers, liquidators and special administrators in such matters. Our services include advising on corporate structures, seeking the relevant approvals, conducting due diligence exercises and drafting and negotiating debt-restructuring agreements. We also advise and enforce the rights and remedies available to creditors or target corporations in the courts or other venues of judicial process.

The new Importers Registry Law (Law No. 7 of 2017) liberalized the Egyptian market to foreign investors. The new Law opens the door to foreigners to import and trade in Egypt by them providing the right to own a stake of maximum 49% of the shares in trading companies. Before 2017 importers had to be 100% Egyptian owned by law. We represent our clients in applying for import and export licenses at the General Organization of Export and Import Control (GOEIC). Our lawyers also represent factories, manufacturers or trademark owners of regulated products with the registration with GOEIC in order to continue to export to Egypt. The registration can be done either by factory or brand.
